Hospital Association of Southern California Privacy Policy

Effective Date: September 1, 2008

The Hospital Association of Southern California ("HASC," "we" or "us") recognizes the importance of your privacy. The purpose of this Privacy Policy is to disclose what information we collect on the Healthcare HR Source website ("Site") and how we use, disclose, store and protect such information. We want you to make an informed decision about our information collection and use practices. If you do not agree to such practices, you can decline to accept our Terms of Use and not use the Site.

The date at the top of this page indicates the date this Privacy Policy was last revised. HASC may change, modify, add or delete portions of this Privacy Policy at any time by posting such revised Privacy Policy on the Site. In such an event, we will send a notice to you at the email address you supplied to us during the creation of your account. It is your responsibility to update your email address in our records should it change. By continuing to use the Site or by clicking the "I Agree" button after we post a revised Privacy Policy, you signify that you have read, understand and agree to the revised version of the Privacy Policy. Please check this page regularly for revisions to the Privacy Policy.

All terms not defined in this Privacy Policy are defined in the Terms of Use.

Information We Collect

In order to provide you with the Services, we may collect the following information:

Browser Data - Like most websites, we may collect information about your browser and your use of the Site. This information includes your Internet Protocol address, the type of browser you use, the language setting of your browser, the links you click on within the Site, the link you clicked on to arrive to the Site, the time and date of your visits and clicks on the Site (collectively, "Clickstream Data"). If you log into the Site using a valid user name and password, the Clickstream Data we may collect is associated directly with your login and any cookies we place on your computer. If you do not log in to the Site, such Clickstream Data is collected in an anonymous manner, meaning that we do not ordinarily associate such data with you personally except in the rare event that you are somehow specifically identified by your Internet Protocol address or by the link you clicked on to arrive to the Site.

Cookies - If you visit the Site, we place a cookie on your personal computer. For registered users, we use cookies to keep you logged into the Site as you browse the Site. Cookies are small files stored on your computer for use by your browser and our Site. They do not contain personal information about you, but while you are logged in to the Site, they tie your Clickstream Data to your personal account. If you do not log into the Site, we use the cookies we place to obtain general information about the way that you use our Site.

Log In Information - We may collect personal information necessary for the creation of your account on the Site, including your name, address, telephone number, fax number, email address, place of employment, title as well as the user name and password you select or that is assigned to you ("Login Information").

Email Communications - If you send us emails, we may collect the information in such emails.

Financial Information - We may collect financial information such as credit card numbers ("Financial Information") from individuals designated by Members and Subscribing Systems to transmit payment to HASC for the Services provided by the Site. When we receive Financial Information from you, we print out such information and retain it in our files. We then redact any credit card numbers stored on the Site leaving only the last four digits of the credit card number.

Compensation Surveys - In order to provide Members and Subscribing Systems with our Compensation Surveys, we may collect certain information provided to us by Members and Subscribing Systems. HASC provides Members and Subscribing Systems with questionnaires concerning compensation data for executives, management and non-management employees and officers of hospitals and other healthcare systems. Such data includes average annual salary, salary range, annual bonus, total cash compensation, incentive or bonus plan structure, alternative rewards programs, base hourly rates, salary range, per diem rates, specialty pay, weekend and shift differentials, signing, referral and relocation bonuses and other types of compensation data. We also collect vacancy and job availability data for various hospitals and healthcare systems such as number of employees, part time, full time, number of vacancies and job openings. While Members and Subscribing Systems typically provide the foregoing information to us in an anonymous, aggregate format, some of this information may be correlated personally with certain individuals, particularly the executives of individual hospitals and healthcare systems.

Labor Resource Library - In order to provide Members and Subscribing Systems with our Library Reports from our Labor Resource Library, we may collect certain information provided to us by Members and Subscribing Systems. This information includes data concerning labor activity in the healthcare industry of California including summaries of recent labor activity, profiles of the most active unions (including current leadership structure and union financial reports), a database of NLRB petition filings for union certification and decertification, a database of California hospitals' collective bargaining agreement expiration dates and archives concerning union contracts with hospitals, union financial and organizational information filings and constitutions and bylaws of labor unions and union locals. Much of this information in these Library Reports is collected from publicly available sources but it can contain personal information about individuals.

Employment Screening Services - If you click on the "Employment Screening Services" link you will be directed to a different website containing information about Pre-employ.com's employment screening services. This Privacy Policy does not apply to information you disclose on third-party websites, including other websites owned and operated by HASC.

Web-based Polls - We may collect information from polls posted from time to time on the Site if you respond to such polls.

How We Use, Store and Disclose the Information We Collect

We use Clickstream Data and cookies to improve our Site and Services and to keep you logged in while you are on the Site. We may indefinitely maintain Clickstream Data and any logs and reports that we generate in connection with such data. We do not share such information with third parties except to the extent that such third parties assist us in the operation, maintenance and development of the Site. As of the date of this Privacy Policy, we use Highpoint, Inc. to develop and maintain the Site, but we may use other third party vendors for such services in the future.

HASC uses Login Information to create your account, verify that you are affiliated with a Member or Subscribing System, identify you as the proper owner of your account and for communication between HASC and Members or Subscribing Systems concerning such entities' accounts with HASC if you are appointed by a Member or Subscribing System as the contact person for such entity. We do not share Login Information with third parties except if necessary for such third parties assist us in the operation, maintenance and development of the Site. We keep records of all Login Information indefinitely.

If you send us an email, we may use any information we collect from such email to improve the Site or respond to your inquiries. We maintain copies of emails we receive indefinitely.

We only use Financial Information to process transactions that you have agreed to. For example, if you are a representative of a Member or Subscribing System, and you share Financial Information with us for the purpose of obtaining a subscription to one of our Services, we use the Financial Information solely for that purpose. When we receive Financial Information from you, we print it out, process the transaction and then redact any credit card numbers leaving only the last four digits of the credit card number. While we may indefinitely maintain records of all transactions involving Financial Information, we will redact credit card numbers in our records whenever possible. As of the date of this Privacy Policy, we use Chase Paymentech Solutions, LLC to process credit card transactions, but we may use other third party vendors to process such transactions in the future. We will disclose to such third party vendors Financial Information, Login Information and other data as necessary to process the transaction.

We disclose our Compensation Surveys and Library Reports to Members and Subscribing Systems who have paid for such information. We limit the use of the Compensation Surveys and Library Reports by Members and Subscribing Systems as set forth in our Terms of Use. As of the date of this Privacy Policy, we use Prezza Technologies, Inc., to gather information for our Compensation Surveys relating to turnover and vacancies at hospitals and healthcare systems. Additionally, we use Sullivan, Cotter and Associates, Inc. and FutureSense, Inc. to help us gather information for and process and prepare our Compensation Surveys. We may use other third party vendors to assist us with our Compensation Surveys and Library Reports in the future. We may maintain this information indefinitely.

If you respond to one of the polls we place on the Site from time to time, we use the information you disclose to us to prepare the poll responses and to display such responses on the Site. We store poll responses indefinitely. As of the date of this Privacy Policy, we use Prezza Technologies, Inc., to maintain and operate our web-based polls, but we may use other third party vendors to fill this role in the future.

We may use, store, access or disclose any of the information we collect if we reasonably believe such acts are necessary to comply with local, state, federal and international rules, laws, regulations or court orders. We may also use such information as necessary for security purposes and to prevent or investigate fraud or compliance with the Terms of Use. Finally, we may use, store, access or disclose any of the information we collect as required or permitted by applicable law.

This Privacy Policy only applies to this Site's data practices and not to the practices of any third party websites or service. If you navigate away from this Site, or use portions of this Site that involve third party services as disclosed in this privacy policy, the privacy policies and data practices of such third party sites and services apply to your use of such sites and services.

In the event that HASC undergoes a merger or acquisition with or any substantial transfer of assets to a third party, we may disclose or assign all the information we collect, or have collected, to the merging or acquiring party.

Changes to Your Account and Login Information

You may update or revise your Login Information or Contact Information by updating your User Profile.

In the future, we may in our sole discretion give you the opportunity to opt-out of receiving communications from us. Until such time, we reserve the right to send you emails or otherwise communicate with you using your Login Information. Such communications could include offers for new or existing Services or other forms of solicitation, news and updates concerning HASC and the Site, invitations to our webinars and other communications. If you are a Labor Activity Specialist, a Compensation Survey Coordinator or if you are designated by a Member or Subscribing System as a contact person for such entity, we may send you reminders concerning the expiration of your subscriptions or communicate with you concerning labor activity and the gathering of information for our Compensation Surveys. Although at this time we do not plan to contact you concerning third party products and services, we reserve the right to do so in the future.

Security

We will use reasonable physical and reasonable electronic security measures to protect your Login Information and Financial Information. HASC limits access to such information to those employees who need to know such information or as otherwise necessary in the reasonable and ordinary course of business. Of course no security system, physical or electronic, is foolproof. While we will make reasonable efforts to protect the information you give to us, we cannot guarantee the safety of such information.
